This Post-Merger Integration (PMI) project aimed to unite two legal entities under a single, integrated management system to maximize operational efficiency and unlock growth potential. The initiative encompassed a comprehensive organizational overhaul, including structural integration, performance-based evaluations, compensation reforms, and profitability management. The overarching objective was to create a sustainable growth engine for the merged entity.

1. Integrated Organizational Structure

A core priority was to consolidate the two organizations to enhance strategic alignment and operational effectiveness.

  • Analyzing Legacy Structures and Defining the Integration Strategy: We minimized functional redundancies while maintaining the specialized expertise of each business unit. By implementing a consolidated headquarters model across production, sales, and administration, we redefined roles and responsibilities to streamline decision-making.
  • Identifying New Growth Drivers: A dedicated New Growth Task Force was established to explore opportunities in flexible packaging, eco-friendly products, new customer segments, and product innovation. This initiative lays the groundwork for long-term growth.

2. Performance Management and Incentive System Overhaul

To foster a performance-driven culture, we introduced KPIs and performance-linked incentives.

  • KPI Design and Assessment Framework: We clearly defined enterprise-level and division-specific KPIs, enabling fair and objective performance evaluations. EBITDA and revenue growth were among the key performance indicators.
  • Introducing Performance-Based Incentives: Executive incentives were tiered based on performance, offering additional rewards for exceeding targets. This approach elevates employee motivation and encourages high performance.

3. Profitability Management and Cost Optimization

By examining profitability at the product and customer level, we identified cost-saving measures and optimized sales strategies.

  • Revamping the Quotation Process: Leveraging actual cost analyses, we standardized quoting procedures to enhance cost efficiency and reduce reliance on low-margin transactions.
  • Enhancing Operational Efficiency: We proposed practical initiatives for improving productivity and optimizing CAPEX investments, driving annual profitability gains.

Outcomes and Expected Impact

Through organizational integration and the establishment of a performance-centric culture, the merged entity significantly strengthened its competitive position. The unified structure and performance-based incentive framework laid a solid foundation for sustainable growth and global market expansion.
