We conducted a Post-Merger Integration (PMI) to maximize synergies, maintain organizational stability, and strengthen global competitiveness following the combination of two aesthetic medical device firms. The initiative focused on integrating organizational structures, redesigning HR systems, retaining key talent, and minimizing operational risks. This approach minimized early-stage integration disruptions while laying the foundation for sustainable, long-term growth.

1. Organizational Integration and Efficiency

The core challenge was to maintain organizational effectiveness while reducing duplicative tasks and roles. A phased transition plan was implemented.

  • Day 1 Organizational Design: At the initial integration stage, we minimized changes by maintaining separate R&D and production units, strategically reallocating some employees into their original structures.
  • Medium-to-Long-Term Changes: We planned to integrate the R&D and production divisions and streamline the international business unit over time, enhancing overall efficiency and effectiveness.
  • Capability Enhancement: To support global market expansion, we established a dedicated Product Management (PM) Group and a Product Planning Office. These new functions will strengthen product strategy, marketing capabilities, and the creation and management of overseas subsidiaries.

2. Redesigning HR and Compensation Systems

We harmonized differing rank, compensation, and evaluation structures to ensure fairness and foster employee motivation.

  • Rank Consolidation: We integrated role hierarchies, assigning key personnel while preserving operational continuity and individual contributions.
  • Compensation Alignment: By adjusting incentive ratios and unifying overall compensation levels, we maintained employee satisfaction and reduced attrition risks.
  • Key Talent Retention: We identified critical personnel and implemented targeted retention packages to ensure ongoing organizational stability post-integration.

3. Effective Communication and Risk Mitigation

A comprehensive communication strategy was deployed to prevent confusion and disruption during the initial integration phase.

  • Core Messaging: Tailored messages were developed for employees, customers, and partners, transparently sharing key milestones and changes.
  • Operational Risk Management: By clearly defining urgent pre-Day 1 tasks and subsequent post-Day 1 initiatives, we continuously monitored for potential risks, proactively addressing issues before they could escalate.

Outcomes and Expected Benefits
