We conducted an Operational Due Diligence (ODD) for a leading electronic materials manufacturer following a carve-out deal, focusing on establishing stand-alone operations and identifying key initiatives for sustainable growth. By defining a new organizational framework through the carve-out and maintaining competitive capabilities, we derived actionable improvement areas for long-term success.

Carve-Out and Stand-Alone Operational Strategy

Organizational Redesign and Process Realignment
We evaluated potential risks in creating a stand-alone operating structure after the carve-out.

  • New Organizational Set-Up and Staffing: Key functional areas, including corporate support, production management, global strategy, and procurement, were strengthened with additional talent to support ongoing growth.
  • Process Optimization: By structuring shared services and defining terms in Transition Service Agreements (TSAs) for procurement, production, and logistics, we ensured initial operational stability and laid the groundwork for an independent operating model.

IT and Infrastructure Development
Simultaneous with the carve-out, we developed a blueprint for establishing an independent IT ecosystem.

  • System Implementation: Deploying SAP S/4HANA ERP, as well as MES, SCM, and HR systems, will enhance operational efficiency. In parallel, we are upgrading cloud-based servers and network infrastructure.
  • Data Migration and Stabilization: Effective OPEX and CAPEX management is essential during data migration and system stabilization to ensure smooth transitions and sustained operational performance.

Growth Opportunities and Key Improvement Areas

Expansion in Greater China
We plan to increase market share by acquiring new customers and strengthening existing partnerships in the Greater China region, driving revenue growth in a pivotal market.

High-Value FCCL Development and Process Enhancement
To accelerate market entry for new products, stabilizing the plating process is a critical step toward producing high-value-added FCCL solutions.

Value-Enhancement Initiatives
Priority will be given to upgrading equipment and improving operational efficiency to simultaneously boost productivity and profitability.

This initiative marks a pivotal turning point for Nexus, establishing the foundation for its future as an independent entity and enabling the company to achieve sustainable, long-term growth.
